Magnetiq provides the opportunity for the users to design, publish (through 3rd party services) and track their digital ads on a single platform. In this context, Magnetiq provides features such as ad creative templates and "studio tool" to facilitate your ad creative design process; multiple ad account connections [such as Meta advertising platform (Facebook Business Manager) and Google advertising platform (Google Ads)] to enable you to manage multiple digital advertising platforms in one place; campaign reporting that helps you track all your digital advertisements published on various platforms; pre-set audiences and ad budget suggestions to enable you to publish high-performing digital ads. Magnetiq operates to help you achieve these goals, however; is not responsible for the performance, as the final version of the content is created by and the final decisions are taken by you.
This agreement of Magnetiq’s Terms of Use (“Terms of Use”), constitutes all terms & conditions that apply to every individual who visits and/or uses Magnetiq’s website or mobile application, together with additional terms & conditions that apply for our particular services and features offered on Magnetiq website(s), unless explicitly stated otherwise.
These Terms of Use constitute a binding and enforceable legal agreement between Magnetiq and its subsidiaries and affiliates and you regarding the use of any service offered to you by Magnetiq. Therefore, we ask you to read these terms carefully.
You can benefit from the services offered by Magnetiq, visit and/or use the Magnetiq website and/or mobile application only if you fully accept the Magnetiq Terms of Use.
In order to benefit from the services offered by Magnetiq, you must first register with Magnetiq and create a user account (“User Account”). Due to the services it offers, Magnetiq assumes that you are a legal entity first and acts by assuming that you are a person or a legal entity merchant. Make sure that the information you provide while creating your Magnetiq User or Business Account and using the services offered by Magnetiq is correct and complete. Your contact information, including but not limited to your e-mail address, may be used to identify / verify the real owner of the User Account.
We reserve the right, in our reasonable judgment, to determine the ownership of a User Account if ownership of a User Account is the subject of a dispute. However, in cases where it is not possible for us to make a determination in this direction, we reserve the right to suspend the relevant User Account until the parties to the dispute resolve this issue without any liability to you or any other party. If necessary, we may request the submission of documents (identity document issued by official institutions, workplace license, etc.) that can enable us to identify the ownership. You agree that your User Account, Business Accounts and/or any service provided to you may be terminated immediately if you fail to comply with any of the above-mentioned issues or make false statements regarding them, that these transactions can be made without further notice to you, and that the fees paid for the relevant Services will not be refunded. .
Provided that it is between Magnetiq and you and the advertisement templates offered to you by Magnetiq are excluded; The intellectual property relating to your user content and any other material created by you, any design, image, animation, video, audio file, font, logo, drawing, compilation, artwork, text and literary work created by you is entirely yours. Magnetiq does not claim ownership rights over your content not created through Magnetiq services and produced entirely by you. You acknowledge and agree that we may access, upload and/or copy to our platform only to perform any other technical operation and/or use that we deem appropriate necessary to set up, back up, reproduce, and provide our services for the sole purpose of providing Magnetiq services to you.
All types of advertising templates, artwork, graphics, images, website templates and widgets, literary works, source and target code, computer code (including html), application, sound, music, whether or not registered and/or registrable , video and other media, design, animation, interface, documentation, derivatives and versions thereof, the "look and feel" of Magnetiq services, method, product, algorithm, data, interactive features and objects, means and method of advertising and acquisition, invention, commercial any copyrightable material, including secret, logo, domain name, customized URL, trademark, service mark, trade name, and other proprietary identifier, or any copyrighted material under any applicable law, or All rights, titles and interests in and arising from Magnetiq services, including any other content that may be included (collectively referred to as "Intellectual Property". ır) and all derivatives thereof are owned and/or licensed to Magnetiq.

Use of certain Magnetiq services, particularly Subscription Packages, may be subject to certain fees as determined by Magnetiq in its sole discretion (“Paid Services”). Magnetiq will provide notice of the fees applicable as of that date for such Paid Services. If you wish to receive or use such Paid Services, you must prepay the applicable fees. Payments must be made separately for each Business Account under the User Account.
Magnetiq reserves the right to make changes to the fees at any time, provided that it notifies you if it affects your existing subscriptions. If you have taken advantage of a discount or other promotional campaign, Magnetiq has the right to automatically renew your subscription to the relevant Magnetiq service(s) at the applicable full price without notice.
To the fullest extent permitted by law (and unless otherwise specified in writing by Magnetiq), all fees are excluding any taxes (including value added tax, sales tax, goods and services tax, etc.), fees and duties ("Taxes") imposed by tax authorities. You are responsible for paying all applicable Taxes relating to your use of the Paid Services or any payment or purchase made by you. If Magnetiq collects or is required to pay Taxes on fees paid by you, such Taxes may be added to any previous transaction, added to any unpaid fee, whether or not collected by you, and reflected on the invoice for the related transaction. We recommend that you check to see if there are any additional fees that may be charged to you by third parties in connection with the purchase or renewal of Paid Services (for example, international transaction fees, foreign exchange fees, or fees payable to banks or credit card companies). Magnetiq is not responsible for such additional fees or charges.
Request and collect payment and service fees from Magnetiq (whether directly or through its subsidiaries, affiliates or other third parties) through a payment provider with which Magnetiq has an agreement or from a bank account designated by you, by registering or providing your information to use the Paid Services (or otherwise charge, refund or otherwise bill); To ensure timely payments by Magnetiq and/or its affiliates, including by querying your payment, credit card or bank account provider for up-to-date payment information (for example, updated expiration date or credit card number information, which may be provided to us by your credit card company). You authorize us to make any inquiries and actions that it deems necessary to verify the designated payment account or financial information.
To pay for the Paid Services you receive, you must have a credit card registered with Magnetiq (“Registered Card”). You can recognize your Registered Card by the last four digits and validity date that appear on the My Account page.
If you switch from the lower Subscription Package to the upper Subscription Package among the Subscription Packages offered by Magnetiq; The days from the date you switch to the monthly expiry date of your current Subscription Package are calculated and you will be charged only the difference between the upper Subscription Package and your current Subscription Package for the remaining days. If you make the payment; Your Subscription Package will be upgraded immediately to the upper Subscription Package you are requesting to upgrade to, and auto-renewal will continue on that upper Subscription Package.
If you switch from the upper Subscription Package to the lower Subscription Package among the Subscription Packages offered by Magnetiq; You can continue to use your current upper Subscription Package with all its features during the said period until the term of your Subscription Package in question expires. Since you can continue to use your current upper Subscription Package during the period you purchased; Magnetiq will not refund you any fees for upgrading your upper Subscription Package to a lower Subscription Package. We would like to point out that when you switch to the lower Subscription Package during the renewal period, you cannot continue to use / view the features in the upper Subscription Package that you previously used. However, you can continue to use the same features as your previous Subscription Package and your preferred new Subscription Package.
Magnetiq continues to work continuously in order to continuously improve its services and to provide a better service. In this context, Magnetiq; Apart from offering only fixed Subscription Packages, it also offers additional services that allow additional purchases within the application / website. These additional services can be accessed in detail from within the User Account and can be used at any time by making one-time cash payments. However, if you want to purchase these additional services in addition to your regular Subscription Package every month, the said payments will be reflected in your regular invoice with the additions made continuously. Payment and invoicing transactions to be made within the scope of additional services are also included in Article 5.1 of these Terms of Use. and 5.2. Magnetiq and/or its affiliates issue an invoice or credit note ("Invoice") for all fee payments and all returns to or from Magnetiq. All invoices are issued as electronic invoices / e-archive invoices and submitted to you via your User Account and/or e-mail. You may be requested to provide some Personal or Company Information (under the definition given in the Privacy Policy) in order to issue invoices in accordance with the law.
If there is more than one Business Account under your User Account, Magnetiq Subscription Packages must be purchased separately for each Business Account, and Invoices will be issued separately for each Business Account and sent to you.

In case the Subscription Packages of the Paid Services are changed between the lower or higher Subscription Packages in the interim periods; Magnetiq will automatically renew your Subscription Package membership over the last Subscription Package you selected / switched to.
You are solely responsible for the verification and/or successful renewal of Magnetiq services (whether or not such services are subject to automatic subscription renewal). Accordingly, you are solely responsible for the termination of any Paid Service previously purchased by you for any reason, including but not limited to the cancellation of any recurring fees, or the failure of any Magnetiq service to be subject to automatic subscription renewal. You agree, represent and undertake not to make any claims against Magnetiq regarding the termination of any Magnetiq service and/or Third Party Service for the reasons listed.
You can freeze / close your User Account and/or Business Accounts, stop using any Magnetiq services at any time and request their cancellation in accordance with the instructions regarding Magnetiq services. You must make your cancellation request separately for each Business Account. However, if you cancel your User Account to which your Business Accounts are directly linked, it will be assumed that the cancellation of all Business Accounts linked to the User Account that you have requested to be automatically canceled will also be requested. The effective date and time for such cancellation will be the date and time when you complete the cancellation regarding Magnetiq services, and the effective date and time for the cancellation of the Paid Services will be the end date of the subscription period of the relevant Paid Services.
Notwithstanding the foregoing, Paid Service Renewal subscriptions will only be terminated upon the expiration of the period for which you have already paid. As the cancellation process can take several days, the cancellation request must be submitted at least five (5) business days prior to the end of the current service period to avoid the next renewal and related charges being automatically charged. Due to Paid Service Renewal subscriptions made more than five (5) business days later, a fee may be collected by Magnetiq through the registered payment information in the next period.

In the event of non-compliance with any of the terms agreed by you and/or non-payment of any or all due fees, Magnetiq will provide (pay) your User Account (or certain features thereof), as well as any related Magnetiq services (for example, Paid Services) or Third Party Services. reserves the right to suspend or cancel

While Magnetiq hopes that such situations will not be encountered, Magnetiq, in its sole discretion, may use any Third Party Service -whether it is currently located within or part of your User Account-without any obligation to you. may suspend, disable access or remove from your User Account and/or Magnetiq services.
When using Magnetiq Services, you may be exposed to User Accounts, User Content or Third Party Services from various sources, which may be inaccurate, offensive, objectionable or illegal. If you believe that any User or Third Party Service has acted inappropriately or otherwise abused any Magnetiq Service, please immediately notify us of such User and/or Third Party Service by calling Magnetiq customer service. You agree that your notification in this matter will not impose any responsibility or liability on Magnetiq, and that Magnetiq may, at its sole discretion, take action by evaluating the aforementioned notification, refrain from taking action or request additional information and documents before taking action.

Magnetiq is in no way responsible for the products and/or services that will be marketed by you using Magnetiq services through the User Account and/or Business Account you have created with Magnetiq.
You are solely responsible for your User Products and/or e-commerce-related activities, any promotions, content contained or referenced by your User Account and/or Business Account, and to comply with all applicable laws. The sole purpose of providing this platform by us is to increase your awareness in your individual/commercial activities. We are not involved in your dealings and/or transactions with any actual or potential buyers of your User Products.
Magnetiq, its officers, directors, shareholders, employees, subsidiaries and intermediaries, including but not limited to all kinds of compensation claims (damage, liability, loss, liability, expense, debt and expense -including attorney's fees-) arising from the reasons listed below. We may notify you using any of the following methods: (1) through the Magnetiq services, including through a banner or pop-up displayed on the Magnetiq Website, User Account or Business Account, or elsewhere; (2) by e-mail to the e-mail address you have provided to us; and/or (3) by any other means, including any telephone number or postal address you have provided to us. Unless stated otherwise in the notice, notice by Magnetiq to you will be deemed received and valid twenty-four (24) hours after its posting or posting using any of the aforementioned methods.
These Terms of Use and all other legal notices and fee notices that Magnetiq has communicated to you constitute the entire agreement between you and Magnetiq.
Magnetiq may transfer its rights and/or obligations under these terms and ownership of Magnetiq services and/or Licensed Content to a third party without your consent and without prior notice to you. You may not transfer or assign your rights and obligations under these terms without the prior written consent of Magnetiq. Any transfer or attempt to transfer without the prior express written consent of Magnetiq will be deemed void.
If any provision of the Magnetiq Terms is deemed by a court of competent jurisdiction to be invalid, unlawful, void or for any reason unenforceable, that provision shall be deemed severable and shall not affect the validity and enforceability of the other provisions. A breach or waiver of any of the Magnetiq Terms shall not be deemed a waiver of any prior or subsequent breach or default.
